Abstract

مستخلص البحث تعد شبكة الإنترنت من أهم الابتكارات التي توصل إليها العقل البشري في مجال المعلوماتية، حيث أزالت الحدود الجغرافية بين الدول وساعدت في تحويل العالم إلي قرية صغيرة، مما أدي إلي ظهور المعاملات والعقود الإلكترونية، وأصبح الإنترنت من أهم الوسائل التي يتم من خلالها إبرام العقود الإلكترونية . ويعرف العقد الإلكتروني بأنه (الإتفاق الذي يتلاقي فيه القبول بالإيجاب علي شبكة دولية مفتوحة للإتصال عن بعد، بوسائل مسموعة ومرئية تخلق تفاعلاً بين الموجب والقابل)، ولا تقتصر هذه الوسائل علي الإنترنت وحده بل تشمل وسائل اتصالات إلكترونية أخري كالفاكس والتلكس والهاتف، وتعتبر هذه الوسائل التي ينعقد العقد الإلكتروني من خلالها من أهم الخصائص التي تميزه عن العقد التقليدي ، لأنه يعتبر من طائفة العقود المبرمة عن بعد وبدون تواجد مادي للأطراف لذلك له طرق إثبات ووفاء مختلفة عن العقد التقليدي . سار المشرع السوداني علي نهج الفقه الإسلامي فيما يتعلق بمجلس العقد، حيث أعطي القابل فترة معقولة من الوقت لأعطاء قبوله دون التراخي المؤدي إلي الأضرار بالموجب، وكذلك فعل المشرع المصري والأردني وتكمن أهمية مجلس العقد في تحديد مكان وزمان التعاقد وكذلك معرفة المحكمة المختصة، إذا ما ثار نزاع بشأن العقد والقانون الواجب التطبيق. ينقسم مجلس العقد إلي نوعين، حقيقي وحكمي، فالمجلس الحقيقي هو المجلس الذي يجتمع فيه المتعاقدان في مكان واحد ويكونان علي إتصال مباشر بحيث يسمع كلا منهما الآخر مباشرة دون إنشغالهما بشاغل، حيث تبدأ بالإيجاب وينتهي بالرد قبولاً أو رفضاًَ أو ينفض دون رد. المجلس الحكمي هو المجلس الذي يكون أحد المتعاقدين غير حاضر فيه، وهذا غالباً ما يكون عليه مجلس العقد الإلكتروني. يعد المعيار الزمني الأنسب والأكثر مرونة للتمييز بين هذين النوعين من التعاقد لإستطاعته مواكبة التطورات الحاصلة علي أرض الواقع في وسائل الإتصال الحديثة .

ABSTRACT

The worldwide internet network is one of the most important discoveries achieved by the human being in the field of Information Technology, whereas it removed geographical boundaries between countries and assisted in making the world well connected like a small village. Such advanced technology led to development of transactions via electronic contracting between the contract Parties. Hence, the Internet has become the most important means by which a lot of transactions are performed and concluded in electronic contracts. The electronic contract is defined as an agreement upon which the Offer and acceptance could be concluded on an international network open for distance communication, through an audible and visual interaction between the Offeree and acceptancee). The electronic means for contracting are not just limited to the Internet only, but also it includes all means of electronic communications such as Fax, telex, telephone, via which contracts are considered as concluded. The most important advantages that distinguish the electronic contract from the traditional ones, because it is considered a range of contracts without physical presence of the parties so it has ways prove to and fulfill different from the traditional contract. The Sudanese legislator followed Islamic jurisprudence with respect to the contract session whereas the accepting party is given a reasonable time to provide their acceptance without causing damage to the Offeror. Same is followed by the Egyptian and Jordanian legislators. The importance of the session of contract is in specifying the place & time of contracting and the relevant court in case any dispute may arise between the parties on the contract and its governing law. The contract session is divided into two types, actual and judgmental. The actual session is the one that contracting parties meet in one place and be in direct contact, hears each other directly without concern with another issue. Whereas it starts with an offer and end with acceptance or rejection response or may be ended without a response. The judgmental session is the one that contracting parties didn’t directly meet, which is in case of electronic session of contract. This almost happened in the electronic session of contract. The timeframe is suitable and flexible for distinguishing between such types of contracting as it is in line with the current development in the telecommunications means.
