إلتزام الوكيل بضمان تنفيذ عملية التداول في سوق الأوراق المالية

Abstract

المستخلص تناولت الدراسة التزام الوكيل بضمان تنفيذ عملية التداول في سوق الأوراق المالية فتمثلت مشكلة البحث في قصور التشريعات والقوانين المنظمة لسوق رأس المال، ضعف الرقابة على أعمال سوق الأوراق المالية ، ضبط أداء الوكلاء والسماسرة وإحاطتهم بالمعرفة الكاملة بالالتزامات والشروط التي تقع على كاهلهم. وتكمن أهمية هذا البحث في كونه دراسة قانونية مفصلة تهتم بضمان إلتزام الوكيل لتنفيذ عملية التداول في سوق الأوراق المالية واهتمام العميل الذي تؤرقه مشكلة القيام بأعمال تجارية لوحده في إيجاد من يعاونه على القيام بأعماله نيابة عنه. تمثلت أهداف البحث في عرض النصوص الواردة في سوق الخرطوم للأوراق المالية والوكلاء، التعرف على كيفية إبرام الوكالة ، تحليل عقد الوكالة والشروط الواجب توافرها وانقضاؤها، معرفة مدى مسؤولية الوكيل والتزاماته عن ضمان تنفيذ عمليات التداول في البورصة ، استخدم الباحث المنهج الوصفي التحليلي . وقد توصل الباحث إلى عدد من لنتائج والتوصيات وكانت أهم النتائج: بأن الوكيل في سوق الأوراق المالية شخص معنوي مرخص له العمل في سوق الأوراق المالية وهو ضامن، لتنفيذ عملية التداول وان مسئوليته تقوم على الخطأ المفترض وتارة على الخطأ الواجب ففي الحالة الأولى تقوم اذا كانت طبيعة الالتزام تحقق نتيجة وفي الثانية اذا كان الالتزام ببذل عناية وكانت أهم التوصيات ان يظل مسمى الوكيل بنفس المسمى وان يكون شخص طبيعي ومعنوي في حالة كونه شخص طبيعي ان يمنع من تداول الاسهم لحسابه الخاص او اقاربه إلا من خلال وكيل آخر.

Abstract The study dealt with the commitment of the agent to ensure the implementation of the trading process in the stock market. The problem of research was the lack of legislation and laws governing the capital market, weak control of the securities market, the performance of agents and brokers and the full knowledge of the obligations and conditions that fall on them. The importance of this research is that it is a detailed legal study concerned with ensuring the commitment of the agent to carry out the trading process in the stock market and the interest of the client, who is troubled by the problem of doing business alone in finding someone who helps him to do his work on his behalf. The objectives of the research in the presentation of the texts in the Khartoum Stock Exchange and the agents were to identify how the agency was concluded, the analysis of the agency contract and the conditions that must be met and violated, knowing the responsibility of the agent and his obligations to ensure the execution of trading operations in the stock exchange. The researcher reached a number of conclusions and recommendations. The most important results were: that the agent in the stock market is a legal person licensed to work in the stock market and is a guarantor, to carry out the trading process and that his responsibility is based on the supposed error and sometimes on the error due in the first case if the nature The commitment is to achieve a result and in the second if the commitment to care and the most important recommendations to remain named agent of the same name and be a natural person and moral in the case of being a natural person to prevent the circulation of shares for his own account or relatives only through another agent.
