    أحكام شركة الشخص الواحد في القانون السوداني (دراسة مقارنة)

    جاءت هذه الورقة البحثية بعنوان أحكام شركة الشخص الواحد في القانون السوداني، وتشتمل على ثلاث مباحث كل مبحث يتضمن مطلبين، وتجسدت المشكلة الأساسية للدراسة حول سؤال مفتاحي تتفرع عنه عدة أسئلة في محاولة للوقوف على حقيقة موقف المشرع السوداني من شركة الشخص الواحد، وتنبع أهمية الورقة من الناحية العلميه في أنها تثري الساحة القانونية بمبادئ جديدة بينما تنبع أهميتها من الناحية العملية في أنها تساعد أصحاب المشاريع الصغيرة والمتوسطة في تطوير أعمالهم دون الخشية من مخاطر المسؤولية المطلقة ثم أعقبت ذلك بخاتمة تتضمن العديد من النتائج والتوصيات وتجسدت أهم نتيجة في أن المشرع السوداني ظل على موقفه الرافض للتأسيس المباشر لشركة الشخص الواحد بينما سمح بتكوين نوعين منها بطريقة غير مباشر فكانت التوصية بتبني المشرع السوداني لشركة الشخص الواحد للاستفادة من مزاياها. Abstract: This study was entitled to the provisions of One Man Company in Sudan law and it include three fields each field include two requirement the basic problem of study is embodied about quality question branching off several question in an attempt to fine out the truth of the position of Sudan legislator from One Man Company. the importance of the study stems from the scientific point of view that it enriches the legal arenas by new principle while it’s importance in practice resolved in helping that they are supporting small and medium enterprises to develop their work without fear of unlimited responsibility risk. then followed up by conclusion including a lot of result and recommendation, that have been emphasized as the as the most important result that Sudan legislator on it’s positive position for the establishment of One Man Company by direct way while allowed to configure to type of the same company by an indirect way therefore the recommended that Sudan legislator adopt One Man Company to get it advantage.

    التنظيم القانوني لشركة الشخص الواحد

    مستخلص: جاء هذا البحث بعنوان التنظيم القانوني لشركة الشخص الواحد والذي تتمثل مشكلته في سؤال مفتاحي تنبثق عنه العديد من الأسئلة مفاده ما هو التنظيم القانوني الذي يحكم شركة الشخص الواحد، وتكمن أهميته من الناحية العملية في الأثار الاقتصادية التي تحققها هذه الشركة حيث تتناسب مع المشاريع الصغيرة والمتوسطة بينما تكمن أهميته من الناحية العلمية في أنه يساعد في إثراء المكتبة القانونية السودانية، ويهدف البحث إلى إبراز الدور الحقيقي الذي تلعبه شركة الشخص الواحد في الحياة الاقتصادية للدول التي أخذت بشركة الشخص الواحد ونظمتها مع الوقوف على حقيقة موقف المشرع السوداني قديما وحديثا من هذه الشركة. قسم البحث الى أربعة فصول تتخللها ثلاث مباحث وهي الأخرى يتخللها مطلبين، اتبعت المنهج الوصفي التحليلي مع الدراسة المقارنة في مناقشتها، حيث تناول الفصل الأول الأحكام العامة لشركة الشخص الواحد بينما تناول الفصل الثاني تأسيس شركة الشخص الواحد وشروطها الشكلية وأقتصر الحديث في الفصل الثالث على إدارة شركة الشخص الواحد بينما تناول الفصل الرابع والأخير انقضاء شركة الشخص الواحد. توصل البحث الى العديد من النتائج والتوصيات وتجسدت أهم نتيجة في تباين التشريعات المقارنة التي أخذت بشركة الشخص الواحد ونظمتها حول الأساس القانوني الذي تقوم عليه بينما تجسدت أهم توصية في أنه لابد من مراجعة موقف المشرع السوداني تجاه شركة الشخص الواحد للاستفادة من مزاياها في مكافحة الشركات الوهمية والصورية التي انتشرت بصورة واضحة خلال العقد الأخير. Abstract: THIS RESEARCH ENTITLED the legal of One Man Company whose problem is key question that gives rise to many questions; what is the legal regulation governing a One Man Company The importance of research in practical terms is the economic effects achieved by this company as it is suitable for small and medium enterprises while its importance in the scientific sense that it help enrich the Sudanese legal library. The research aims at highlighting the real role played by One Man Company in the economic life of the countries that took this company and organized it with the stand on the reality of the position of the Sudanese legislator old and recent from this company. The research department in to four chapters each chapter included three subsection and each subsection include two requirements, followed the analytical descriptive approach in it discussion,and comparative study. whereas the first chapter discuss the general provision of One Man Company while the second chapter discuss establishment of one man company and its corporation ,the third chapter discuss administration of one man company and the forth chapter and last one discuss expiration of one man company. The research many result and recommendations the most important result embodied in the variation of the comparative legislation that took one man company and regulated it around the legal basis one which it based while the most important recommendation embodied in that it is necessary to review the position of the legislator of Sudan towards the One Man Company to get it advantages in combat of counterfeit and fictitious companies that have spread so clearly during the last decade.
